Warburg Pincus Capital Solutions Fund

Overview

Warburg Pincus Capital Solutions Founders Fund, L.P. ("WPCS FF") is the inaugural vehicle in Warburg Pincus's dedicated Capital Solutions strategy, a structured-investing platform providing flexible debt and equity capital to founder-led and existing-shareholder companies for balance-sheet optimization, shareholder liquidity, M&A, and growth financing needs -- distinct from the firm's traditional control buyout and growth-equity funds. The fund was formed and began marketing in 2023 (Delaware LP, initial Form D filed May 11, 2023; a related Cayman feeder, "Warburg Pincus Capital Solutions Founders Fund Partners (Cayman), L.P.," has been active since March 29, 2023 per LEI registry data) -- not 2022 as the vintage supplied in the original research request; no source ties this vehicle to a 2022 vintage. The fund launched with a stated target of $2.0 billion and closed on September 4, 2024 with total commitments of over $4.0 billion, more than double target -- a large oversubscription that Warburg Pincus and press coverage (Buyouts Insider, Alternatives Watch, Law360, PE Forum, Opalesque) attributed to demand for flexible/structured capital in a constrained traditional-PE fundraising environment. SEC Form D data (amendment filed May 9, 2024) shows $3,002,368,000 sold as equity interests at that point in the raise, filed under the Section 3(c)(7) pooled-investment-fund exemption. A related parallel vehicle, "Warburg Pincus Capital Solutions Founders Fund Partners, L.P." (CIK 0001970955), was also registered. The fund was anchored by a wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA), per a quote from Hamad Shahwan AlDhaheri, Executive Director of ADIA's Private Equities Department, published in the September 2024 close announcement and reiterated in every subsequent deal press release through mid-2026; no other individual LP names were disclosed in any source reviewed (PitchBook's fund profile references 6 total LPs but is paywalled and does not name them). Strategy leadership is Dan Zilberman (Global Head of Capital Solutions; Global Co-Head of Financial Services) and Gaurav Seth (Head of Capital Solutions, Americas), supported by a team described as five Managing Directors (average 20+ years' experience) plus dedicated investment professionals and senior advisors, with access to the wider Warburg Pincus platform (~280 investment professionals and 75+ value-creation executives firmwide). CEO Jeffrey Perlman was quoted in the close announcement. As of the Feb. 6, 2025 Warburg Pincus press release, WPCS FF had deployed over $1 billion of capital across DriveCentric, Excelitas Technologies, Mashura, MB2 Dental, MIAX, Nord Security, Service Compression, United Trust Bank, and an unnamed industrial-distribution-platform deal, plus one realized exit described as "sizeable and highly successful" (not named). Since that milestone, the fund has continued deploying meaningfully: it agreed to invest up to $1 billion in Global Eggs (multinational egg producer, $8B valuation, announced March 2, 2026, Warburg Pincus principal Allison Ross joining the board) and made a $130 million investment in Oxylabs (data-infrastructure/proxy platform, $3.6B valuation, announced July 9, 2026 -- Oxylabs' first-ever outside capital). No updated aggregate deployment total (beyond "$1B+" as of Feb 2025) has been publicly disclosed. No 990/ADV filing or independent NAV/performance data (IRR, MOIC, DPI) was located for this fund in the sources reviewed; any such figures should be treated as NONE_FOUND pending direct ADV/13F or LP-reported data.
